Terms of service

These terms govern the contracting of CFV Technology services. Please read them carefully — they define the rights and obligations of both parties.

By contracting any CFV Technology service, the client accepts these terms. Acceptance may be express (signature or digital confirmation) or implied (continued use of the service). The validity of digital acceptance is based on Decree 149-2013 (Electronic Signatures Law of Honduras).

Services we offer

  • Web development: Modern websites, landing pages, corporate sites, contact forms, admin panels and basic SEO optimization.
  • Ecommerce: Online stores with product catalog, shopping cart, order management, payment methods and shipping integration.
  • Custom systems: Custom software to digitalize internal processes — administrative systems, client and inventory management, reports and dashboards.
  • Automation: Automated flows with n8n to connect platforms, automatic notifications and the removal of repetitive tasks.
  • CFV Conversation: Multi-channel inbox that centralizes WhatsApp, Facebook, Instagram and web chat in a single interface for support teams.
  • Meta integrations: Technical connection with the WhatsApp Business API, Facebook and Instagram for customer support and message automation.
  • POS (Point of Sale): System for sales tracking, inventory control, product management, reports and user roles.
  • AI for customer support: Intelligent assistants and automated replies that support the human team, integrated with digital channels.
  • Social media publishing management: System to organize, schedule and publish content on social networks (including TikTok, Facebook and Instagram) from a single platform. Publishing to TikTok is done through the official Content Posting API, with prior OAuth authorization from the account owner. The client retains full control over their account and may revoke access at any time.
What is published on our website about the characteristics, scope and functionality of each service forms an integral part of the contractual relationship, in accordance with the binding advertising principle established in the Consumer Protection Law (Decree 24-2008).

Contracting process

  • Discovery (1-2 days): Meetings with your team, mapping of current processes and clear goal definition.
  • Proposal (2-3 days): Detailed document with tech stack, schedule, deliverables and a transparent quote. Prices include ISV (15%).
  • Design (1-2 weeks): Wireframes, mockups and a navigable prototype validated with you before development.
  • Development (2-6 weeks): Clean, scalable and documented code. Weekly reviews so you can track progress.
  • Integration (3-5 days): WhatsApp Business, Meta, payments, shipping, CRMs — everything connected and running.
  • Delivery and support (ongoing): Training, monitoring, maintenance and continuous improvements as you grow.

The project formally begins with written approval of the proposal/quote by both parties. Any subsequent change of scope requires written agreement and may affect timelines and costs.

Client obligations

  • Information and access: Provide in a timely manner the information, content, credentials and access required for the development of the project.
  • Communication lead: Designate a contact person as the main point of contact for decisions and approvals.
  • Review deadlines: Respect the agreed deadlines for reviewing and approving deliverables. Client delays may affect the schedule.
  • Lawful use: Not use the services, systems or platforms delivered by CFV Technology for illegal or fraudulent purposes or in ways that infringe third-party rights.
  • Own content: The client is responsible for the content they publish or send through the systems developed by CFV Technology.

Payments and billing

  • Payment structure: Development projects are billed by milestones agreed in the proposal (generally: an advance at the start + payments per deliverable).
  • ISV included: All published and quoted prices include the 15% Sales Tax (ISV), in accordance with Honduran tax legislation (Decree-Law 24/1963).
  • Tax invoicing: CFV Technology issues a tax invoice authorized by the SAR (Revenue Administration Service) for every service provided.
  • Recurring services: For ongoing services (CFV Conversation, hosting, monthly support), billing is monthly with the cycle defined in the proposal.
  • Late payment: Failure to pay within the agreed deadlines may result in temporary suspension of the service until the account is settled.
  • Currency: Payments are made in Honduran Lempiras (HNL) or US Dollars (USD), as agreed in the proposal.

Right of withdrawal

In accordance with the Consumer Protection Law of Honduras (Decree 24-2008), the client has the right to withdraw from the contracted service within five (5) business days following the signing or acceptance of the contract, without justification and without penalty.

To exercise this right, the client must notify us in writing at [email protected] . In the event of withdrawal, CFV Technology will refund amounts paid that do not correspond to work already performed and delivered.

The right of withdrawal does not apply when the service has already been fully performed with the client's express consent, or in the case of software or custom development that by its nature cannot be reused.

Intellectual property

Software intellectual property is governed by the Copyright and Related Rights Law of Honduras (Decree 4-99-E), which recognizes computer programs as protected works (Article 108).

  • Code custom-developed for the client: Once the project is paid in full, the client receives ownership of the source code developed specifically for their project, including the right to use, modify and distribute it.
  • CFV internal tools and libraries: CFV Technology retains intellectual property over its tools, frameworks, libraries, boilerplates and reusable components that were not developed exclusively for the client.
  • Client content: Logos, texts, images, trademarks and any material provided by the client remain the exclusive property of the client.
  • Third-party software: Open-source or third-party tools (n8n, Evolution API, Chatwoot, etc.) are governed by their respective licenses, independent of these terms.

In the event of early termination of the contract, the client receives ownership only of the code corresponding to fully paid milestones.

Confidentiality

Both parties undertake to maintain strict confidentiality regarding sensitive information accessed during the business relationship. This includes, but is not limited to: system access credentials, business strategies, financial information, client data and any information marked as confidential.

Access to systems, APIs, platforms and client data provided to CFV Technology will be used exclusively for the provision of the contracted service and will be returned or deleted at the end of the business relationship.

The confidentiality obligation remains in force during the business relationship and for a period of two (2) years after its termination.

Support and maintenance

  • Support channels: Email ([email protected]) and WhatsApp Business (+504 9800-2758) during Honduras business hours.
  • Post-delivery support: Includes bug fixes for the delivered development during the first 30 days after formal delivery.
  • Maintenance: Ongoing maintenance (updates, improvements, monitoring) is an additional service with a monthly fee agreed separately.
  • Additional development: New features, scope changes or improvements outside the original project are quoted and approved separately.

Limitation of liability

  • Third-party services: CFV Technology is not responsible for interruptions, changes or limitations in third-party services (Meta, WhatsApp Business API, TikTok Content Posting API, payment gateways, hosting services, etc.) that are beyond our control. This includes changes to API policies, content restrictions or account suspensions by the platforms.
  • Financial cap: CFV Technology's total liability for any claim is limited to the amount actually paid by the client for the specific service that gave rise to the claim.
  • Client content: CFV Technology is not responsible for content the client publishes, sends or distributes through the developed systems.
  • Misuse: We are not responsible for damages arising from improper or negligent use of the delivered systems, or use contrary to the instructions provided.
In accordance with the Consumer Protection Law (Decree 24-2008), limitations of liability must be proportionate and reasonable. No clause in these terms limits non-waivable consumer rights under Honduran law.

Service termination

  • Termination by the client: The client may terminate the business relationship at any time with fifteen (15) business days' prior written notice to [email protected].
  • Termination by CFV: CFV Technology may terminate the service in the event of non-payment exceeding thirty (30) days, unlawful use of the services, or violation of these terms.
  • Effects of termination: At the end of the relationship, CFV Technology will deliver to the client all source code, assets and documentation corresponding to paid milestones.
  • Data and access: Client data will be handled in accordance with our Privacy Policy and Data Deletion Request . Access provided by the client will be revoked or deleted.

Changes to these terms

CFV Technology reserves the right to update these terms to reflect changes in our services, business practices or legal requirements. When we do, we will update the "last updated" date visible on this page.

Material changes will be notified to active clients via email or WhatsApp at least fifteen (15) days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated terms.

Governing law and dispute resolution

These terms are governed by the laws of the Republic of Honduras.

  • Amicable resolution: In the event of any dispute, both parties undertake to attempt to resolve it amicably through direct negotiation for a period of fifteen (15) days.
  • Conciliation and arbitration: If direct negotiation does not resolve the dispute, the parties agree to submit it to the Conciliation and Arbitration Center of the Tegucigalpa Chamber of Commerce and Industry (CCA-CCIT), in accordance with the Conciliation and Arbitration Law (Decree 161-2000).
  • Subsidiary jurisdiction: Should arbitration not be applicable, the courts of the Republic of Honduras shall have jurisdiction.
